Terms and Conditions of Use

In this document, you will find the Terms and Conditions of Zabio. It is important that you read them carefully, as they apply to all users, partners, providers, and any third party that uses or browses our platform.

Remember that by accessing our website, you accept the terms and conditions set forth in this document, as well as our Personal Data Processing Policy, which you can also consult on our website.

1. Definitions

Platform: The website and digital channels that Zabio makes available to you so that you can operate, carry out transactions, and manage your assets.

User: You, or any natural or legal person who uses Zabio to access our services.

Digital Assets: Virtual goods that have economic value and can be used to carry out transactions within and outside the Platform.

Stablecoin: A type of crypto-asset whose value remains stable because it is linked to reference assets, such as traditional currencies (for example, the US dollar).

COP: The abbreviation representing the Colombian peso, the official legal tender currency of Colombia.

COPC: Zabio's own stablecoin, where 1 COPC always equals 1 Colombian peso, guaranteeing stability and ease of use within our ecosystem.

USDT: A stablecoin linked to the value of the US dollar. One unit of USDT always seeks to equal one US dollar.

Exchange Rate: The relationship between the value of a fiat currency and that of a digital asset. It defines how many assets or currencies you can obtain in an exchange.

Detokenization: The process of converting your stablecoins back into traditional money (FIAT), whether for personal use or withdrawal.

Exchange (Permuta): In the context of our services, an exchange refers to the operation of swapping between digital assets (crypto-assets) and traditional currency (FIAT). This includes, among others, swaps between different cryptocurrencies or between crypto-assets and stablecoins. In simple terms, it is the process of exchanging one asset for another under previously agreed conditions, allowing users to manage their market exposure.

Mandate: The mandate is an authorization granted by users to Zabio to carry out tokenization or detokenization operations of assets. This involves the conversion of FIAT money (such as Colombian pesos or dollars) to crypto-assets (for example, stablecoins) and vice versa. In other words, the mandate allows Zabio to act on behalf of the holder to carry out these transactions, both to convert crypto-assets to FIAT and to perform the reverse process.

2. The Relationship

2.1. The process behind Zabio

Zabio's objective is to offer an efficient and secure solution for managing exchange rate risks through the use of advanced technologies such as blockchain and decentralized finance (DeFi). Our platform allows individuals and companies to protect themselves from volatility in exchange markets.

Through Zabio, users can exchange fiat currency (such as COP and USD) for stablecoins like USDT and COPC, which are linked to the value of the US dollar and the Colombian peso. This allows SMEs and other users to manage their assets and carry out international transactions with greater stability.

The use of currency hedging through blockchain contracts guarantees greater transparency and security in operations.

2.2. Available services

Zabio offers the following services:

2.2.1. Top Up

To access purchase, sale, and lending services, users must deposit money into their account through COINK S.A., a regulated partner supervised by the Financial Superintendence of Colombia. Top-ups can be made in COP or USD.

Once the top-up is completed, the user will be able to access the following services:

  • Purchase and sale of stablecoins.
  • Stablecoin lending.

Responsibility in case of fund retention: If COINK retains funds for regulatory or security reasons, Zabio will not be responsible for delays or blocks, but commits to assisting the user and keeping them informed in accordance with COINK's procedures and the competent authorities.

2.2.2. Purchase and Sale of Stablecoins

Users can buy and sell stablecoins by exchanging their FIAT money (COP or USD) for USDT or COPC, or vice versa. These exchanges are carried out simply and quickly, allowing users to manage their assets with ease.

2.2.3. Lending

Users also have the option of making loans in stablecoins. This involves delivering USDT or COPC to Zabio and receiving a return in exchange, generated by funds deposited in a financial institution. The loan is carried out in a clear and transparent manner, with returns derived from financial operations.

3. Regulation – We are not a Financial Institution

Zabio is not a traditional financial institution. We do not operate under financial sector regulations, but rather offer solutions based on blockchain and decentralized finance. Our financial partners, such as COINK S.A., manage money deposits and are governed by the regulations of the Financial Superintendence of Colombia.

4. Limitation of Liability

Zabio is not responsible for technical failures in accessing the platform, nor for viruses that may infect the user's equipment. We are also not responsible for the accuracy of the information provided by users, as we do not control their content.

5. Linking and Validation

To access Zabio's service portfolio, users must complete a digital linking and account verification process. This process is fully automated, so there is no need to fill out physical forms. Below, we explain the steps to link your account:

  1. Email or phone linking: The user must enter their email address and/or phone number to link to the account. You will receive an email or an OTP (verification code) to confirm your account. You can continue with the process only after verifying your email address.
  2. Company Registration: If you wish to register a company on our platform, the system will ask for the company's Tax Identification Number (NIT).
    • If the company is already registered on the platform, the system will inform you immediately.
    • If the company is not registered and the user is an employee, you will be asked to provide the legal representative's contact details.
    • The legal representative will receive an automatic email inviting them to start the linking process.

6. User Information Verification

To guarantee the security and correct identification of our users, we implement the following verification processes:

  1. Identity document verification: We validate the security elements of the Colombian citizenship card, such as the laminated hologram, anti-photographic security background, distances between printed information and biographical data, among others. This allows us to verify the authenticity of the document.
  2. Document ownership validation: We compare the photograph of the citizenship card with a current image of the user and verify that the alphanumeric data extracted from the document matches the information provided on the platform.
  3. Cell phone number validation: The system will send a verification code to the user's cell phone number. The user must enter this code on the platform to confirm that they have access to the provided number.
  4. Business and institutional client verification: For institutional clients (companies or entities), the verification will be more extensive. Additional information will be required such as:
    • Company incorporation documents.
    • Legal representative data.
    • Signature powers, among other relevant documents.

This process adapts according to the type of client, complying with regulatory standards applicable to financial entities.

7. Rights and Obligations

7.1. Rights of Zabio and the Platform

  1. Website and content modification: Platform administrators can make changes to the website when they consider it necessary, without needing to ask users for permission. This allows us to continuously improve the platform and adapt to new needs.
  2. Termination of Terms and Conditions: If a user breaches the rules described in the User Blocking Policies, Zabio has the right to terminate their access to the platform. Depending on the severity of the breach, the block may be temporary or permanent.
  3. Information request: Administrators have the right to request the information they need to complete the user registration process. This helps us ensure that everything is in order.
  4. Block communication: If we block your account, we will inform you about the reason for the action so that you are aware of what happened.

7.2. Obligations of Zabio and the Platform

  1. Inform about changes to Terms and Conditions: If there is any change to the Terms and Conditions, we will inform you immediately. You will have 15 days to let us know if you have any objection. If we do not receive any, we will understand that you accept the changes.
  2. Protection and handling of your personal data: At Zabio, we are committed to protecting your data. We process all the information you provide us according to our Personal Data Processing Policy, and we always respect your privacy and security.
  3. Security of funds and operations: Although Zabio facilitates financial services, we do not directly handle user funds. Funds are managed by COINK S.A., which is regulated and guarantees that transactions are carried out securely. Additionally, we take all necessary measures to protect transactions and data.
  4. Commitment to trust and security: We work with trusted partners and adopt proactive approaches to keep the platform secure. Our goal is for you to carry out your operations with peace of mind, knowing that your information and funds are protected.

7.3. User Rights

  1. Right to be informed about changes: You have the right to be informed about any important changes to the Terms and Conditions or any document that requires your acceptance.
  2. Right to receive comprehensive support: If at any time you have questions or need help using the platform, you can count on our team to provide you with the necessary support quickly and effectively.

7.4. User Obligations

  1. Truthful information: It is important that users register correct information and authentic documents. This ensures that we can provide you with an adequate service.
  2. Refrain from illegal activities: We want the platform to be a safe place for everyone. We ask that you do not use our services for illegal activities, such as money laundering or terrorism financing.
  3. Transparency about funds: If you are using funds that are not yours, you must declare it clearly. If the funds are your own, make sure you can justify their origin if asked. We want everything to be transparent and clear.
  4. Keep your information updated: It is your responsibility to keep your information and documentation updated to avoid inconveniences.
  5. Technical requirements: To use the platform, you must have the appropriate hardware, software, and Internet connection. This is necessary for you to access our services without problems.

8. Blocking Policies

At Zabio, we take the security and proper use of the platform very seriously. Therefore, we may block your account if you engage in any of the following situations:

  1. False or incorrect information: If you provide information that turns out to be false, incorrect, or unreliable, even after we have requested more details.
  2. Failure to update information on time: If you do not respond or do not update the required information and documentation within 15 days of our request.
  3. Improper use of the platform: If you use the platform for something that is not allowed or act outside the profile for which you were registered. This includes assigning yourself permissions that do not correspond to you or using the platform for unauthorized purposes.
  4. Failure to pay commissions: If you do not pay the corresponding commissions to Zabio.
  5. Authority request: If an administrative or judicial authority requests that we block your account.
  6. Transaction non-compliance: If you do not comply with the obligations you have with another party in a transaction or purchase agreement for goods, products, or services.
  7. Terms non-compliance: If you violate any of the conditions accepted when you registered on the platform.
  8. Illegal activity: If we have indications that your account is being used to carry out illegal activities.

9. Information Conservation

Zabio ensures the conservation of information and traceability of activities through control measures and backup systems. This guarantees data integrity and transaction security.

10. Platform Liability Exemption

Zabio is not responsible for the following:

  1. Damages due to technical failures: We are not responsible for any damage, harm, or loss you may suffer due to failures in the system, server, Internet connection, or the platform's website. This includes technical failures beyond our services.
  2. Viruses or malware: We are not responsible for viruses or any other malicious software that may infect your equipment due to accessing or using our website or the transfer of data, files, images, texts, or audio contained therein.
  3. Service interruptions: The website may not be available at any time due to technical difficulties or failures beyond Zabio's control. However, we work to restore services as soon as possible.
  4. Accuracy of information: Although we verify most of the information, Zabio does not guarantee that all information provided by users is accurate, complete, reliable, or current. We also do not guarantee the result of its use.
  5. Failures beyond the administrator: We are not responsible for technical failures, communication problems, data transmission failures, or any other problem beyond Zabio that may affect the use of the platform.

11. Prohibitions

Both parties commit to not using the platform's services for illegal purposes and to refrain from doing the following:

  1. Creating false identities: You cannot create or attempt to create a false identity to deceive others about your identity or the origin of your messages.
  2. Transmitting malicious programs: It is prohibited to transmit or upload viruses, Trojans, worms, time bombs, or any other harmful program that may affect the platform or other users' systems.
  3. Using protected materials: You cannot upload materials with protected software, confidential information, or content that infringes intellectual property rights, privacy, or any other applicable legislation.
  4. Interfering with networks: It is prohibited to interfere with or interrupt the networks that connect to the platform, or to violate the rules, directives, or procedures of said networks.
  5. Unauthorized access: You cannot attempt to access the platform's services in an unauthorized manner, or to computer systems or networks connected to them, through automatic password searches or any other method.
  6. Interfering with service enjoyment: You cannot interfere with the use of the platform by other users or entities.
  7. Accessing third-party information: If for any reason you access third-party information, you must maintain the confidentiality thereof and be responsible for any damage caused by violating this.
  8. Performing harmful acts: You cannot perform any action that may cause damage or harm to other people or entities.

Additionally, both parties commit to applying effective procedures, tools, and systems in their transactions to prevent money laundering and other illegal activities.

12. Indemnity

Remember that, by using our platform, you commit to holding Zabio harmless, as well as its directors, employees, and licensors, against any claim, demand, loss, liability, or expense (including attorneys' fees) arising due to:

  1. Use of Services: Any activity you carry out when using our services.
  2. Non-compliance with Terms and Conditions: Failure to comply with any of the established Terms and Conditions of use.
  3. Use of your Content: The use of your content by Zabio as permitted by these terms.
  4. Infringement of third-party rights: Any violation of the rights of third parties, including payroll operators or other parties involved.

13. Modification of Terms and Conditions

Service Modifications: Zabio reserves the right to modify, suspend, or discontinue the service, in whole or in part, at any time, with or without prior notification. We will not be responsible for the effects derived from these modifications.

Change Notification: Any change in Zabio's procedures or services will be communicated in a timely manner and will be considered effective from its publication on our website.

Consent to new conditions: If you access the platform after the changes are published, it will be understood that you consent to and accept the new Terms and Conditions or the modifications made.

14. Complaints, Disputes, and Conflict Resolution

Any dispute, conflict, claim, or controversy that arises must be resolved through direct mediation. To this end, Zabio may use the necessary information to resolve any complaint, dispute, or conflict (PQRS) received through our platform, or provide it to our licensors, if necessary.

15. Intellectual Property Rights

The trademarks, trade names, designs, logos, texts, and other content of Zabio's website are the exclusive property of Zabio or of third parties who have given us their express authorization to use them.

Any use or exploitation of this content without our prior written consent is prohibited.

The design and content of our website are protected by national and international laws on Industrial Property and Copyright. Therefore, the content of the platform cannot be modified, copied, distributed, transmitted, published, sold, or exploited in any way without our authorization.
